How to prepare for an Apax Partners interview

Apax is a global private markets firm whose buyout strategy is focused on Tech & Telecom, Services, and Marketplaces/Data/Consumer. A strong interview answer connects financial analysis with sector insight and measurable operational improvement.

Sector-led thesis

Understand a subsector, its market structure, competitive dynamics and investment implications.

Financial discipline

Build credible LBO, valuation, downside and cash-generation analyses.

Transformation

Connect operational initiatives to revenue, margin, cash flow and exit returns.

Editorial note: This is an independent educational resource. The questions are original practice prompts, not a claim to reproduce Apax’s confidential interview assessments. Specific interview stages vary by office, team and seniority.

Understand Apax’s investment strategies

Global Buyout

Transformative investments across Apax’s three stated core sectors, using sector and operating expertise.

Digital Growth

Minority growth and growth buyout investments in SaaS, data, marketplaces and tech-enabled services.

Adjacent strategies

Apax also lists Global Impact, Mid-Market Israel and Credit strategies. Tailor preparation to the vacancy.

Research tip: Apax’s current sector classification differs from some older documents that refer to four sectors including Healthcare. Use the latest official strategy pages when discussing current positioning.

What to expect and how to prepare

Interview formats are role-dependent. A private equity investing candidate should be ready to explain why Apax, discuss a transaction, demonstrate valuation and LBO skills, and evaluate a business under uncertainty. Some processes may include modelling or written investment exercises, but do not assume a universal format.

Recommended response structure: state your investment recommendation, identify the three assumptions driving returns, quantify downside risk, and explain what diligence could change your mind.

74 Apax Partners interview questions and answer frameworks

Select a topic and expand each question to review an answer framework. The guide includes foundational, technical and judgement-based prompts.

1. Why Apax rather than another global buyout firm? Fit & strategy

Answer framework: Connect sector specialisation, operational excellence and global reach to a specific investment thesis; avoid generic prestige answers.

Answer framework: Tech & Telecom, Services, and Marketplaces/Data/Consumer are the three sectors listed on Apax’s current site.

3. How does Apax Digital Growth differ from Global Buyout? Fit & strategy

Answer framework: Digital Growth can invest minority growth capital or pursue growth buyouts in software, internet and technology; Global Buyout emphasises transformative buyouts.

4. What is the role of Apax Operational Excellence? Fit & strategy

Answer framework: Specialist operating expertise supports due diligence and portfolio initiatives in revenue, digital, technology, margin and organisational effectiveness.

Answer framework: Forecast acquisition timing, multiples, financing, synergies, integration costs and exit valuation.

32. What is the difference between gross and net IRR? LBO & returns

Three detailed investment interview cases

Case 1 — €400m enterprise-value buyout

A fictional services company has €40m EBITDA, is acquired at 10.0x EBITDA, financed with €240m debt and €160m sponsor equity. Five years later EBITDA is €60m, exit EV/EBITDA is 9.0x and remaining net debt is €140m.

Worked LBO returns

Entry EV€400m
Exit EV€540m
Exit equity€400m
Gross MOIC2.50x
5-year gross IRR20.1%
Debt paydown€100m

Exit EV = €60m × 9.0 = €540m. Exit equity = €540m − €140m = €400m. MOIC = €400m / €160m = 2.5x. IRR = (2.5)^(1/5) − 1 ≈ 20.1%.

Sensitivity: An 8.0x exit multiple produces €480m EV, €340m equity, 2.125x MOIC and approximately 16.3% gross IRR.

Discussion: What EBITDA growth is organic versus acquired? Is €100m debt paydown supported by free cash flow? Which operational initiatives create the forecast improvement?

Case 2 — Digital Growth minority investment

A fictional SaaS company raises €75m at a €225m pre-money equity valuation. Revenue is €50m, gross margin is 80%, growth is 30% and NRR is 115%. Assume no other dilutive instruments for the simplified ownership calculation.

Post-money valuation€300m
Investor ownership25%
Pre-money / revenue4.5x

Ownership = €75m / (€225m + €75m) = 25%. At a €600m equity exit value with no dilution or distributions, proceeds = €150m and gross MOIC = 2.0x. A five-year hold implies approximately 14.9% gross IRR.

Investment judgement: Validate cohort retention, CAC payback, pricing, churn concentration, AI exposure and governance rights before recommending an investment.

Case 3 — Services buy-and-build diligence

A fictional testing-and-compliance platform has £25m revenue and £5m EBITDA. Management proposes acquiring two smaller operators with £3m combined EBITDA at 7.0x, financed by £12m debt and £9m equity, with £1m run-rate synergies.

Add-on purchase EV£21m
Pro forma EBITDA£9m
Synergies£1m

Purchase EV = £3m × 7.0 = £21m. Pro forma EBITDA = £5m + £3m + £1m = £9m, assuming synergies fully achieved and no dis-synergies. Before approving, diligence customer overlap, integration costs, systems, retention, regulatory compliance and realistic synergy timing.

Decision exercise: Recommend whether to proceed, renegotiate or stop. Explain which diligence evidence would change your answer.
