Book Mock Interview ↗

Worked case 1: a mid-market software buyout

A hypothetical software company generates £20m EBITDA. A sponsor buys it at 10x EBITDA, using £110m of acquisition debt and £90m of equity. After five years, EBITDA reaches £30m; the business exits at 10x with £60m net debt.

Entry-to-exit return bridge

Entry EV£200m
Entry equity£90m
Exit EV£300m
Exit equity£240m
Gross MOIC2.67x
5-year gross IRR21.7%

Entry EV = 20 × 10 = £200m. Exit EV = 30 × 10 = £300m. Exit equity = 300 − 60 = £240m. MOIC = 240/90 = 2.67x. IRR = (240/90)^(1/5) − 1 ≈ 21.7%.

Follow-up: At an 8x exit multiple, exit EV is £240m, exit equity £180m, MOIC 2.0x and gross IRR approximately 14.9%. Explain the sensitivity to multiple compression.

Discussion prompts: What supports the EBITDA growth? Is the debt sustainable? How much comes from organic growth versus bolt-ons? What does the cash conversion profile look like? All figures are hypothetical, before fees and interim distributions.

Worked case 2: B2B SaaS commercial diligence

A hypothetical B2B software company has £15m ARR, growing 20%, with 110% net revenue retention and 92% gross revenue retention. Management proposes a £5m investment in sales expansion.

What the metrics tell you

Current ARR£15m
ARR next year at 20%£18m
NRR110%

At constant growth, ARR increases by £3m to £18m. NRR above 100% suggests existing customers expand more than they contract or churn, while 92% GRR indicates 8% gross revenue loss from the starting cohort. Both require definition and cohort verification.

Investment recommendation framework: Validate churn by segment, customer concentration, sales efficiency, gross margins, CAC payback, product roadmap and whether incremental sales spending can achieve attractive returns.

Investment committee question: Would you approve the £5m expansion? Give a conditional yes/no recommendation, identify two decisive diligence requests and explain the downside if acquisition efficiency deteriorates.
