Understand the investor before the interview.
Cinven is an international private equity firm with European heritage. It invests across six sectors and combines sector specialists with regional expertise to identify opportunities, conduct diligence and work with management teams on value creation.
What makes Cinven different?
Its official investment approach highlights long-term structural trends, forensic diligence, collaboration between sector and country specialists, and hands-on management partnerships. Value-creation work spans commercial growth, procurement, cash management, digital transformation and buy-and-build acquisitions.
Know the 2026 Strategic Fund development
In September 2026, Cinven announced the €2.3 billion final close of Strategic Fund 2, designed to pursue high-growth, asset-light European mid-market opportunities, particularly across financial services, business services and TMT. Candidates should be able to distinguish that mandate from the firm’s wider flagship investment approach.
A strong interview answer connects a company’s competitive position to cash flow, ownership strategy and a realistic exit.

11. What makes an effective investment committee memo? Firm & investment strategy
Answer guidance: Clear recommendation, business overview, market, returns, key sensitivities, value creation, risks and mitigants.

Answer guidance: Weak cash conversion, customer concentration, regulatory exposure, poor governance, unrealistic valuation or unfixable operational issues.
13. Walk from enterprise value to equity value. Accounting, valuation & returns
Answer guidance: Equity value = enterprise value − net debt − debt-like items + non-operating assets, with adjustments for working capital and other transaction specifics.

Book Mock Interview ↗Three fully worked investment cases.
These examples are hypothetical and are designed to teach the decision-making framework, not represent actual Cinven transactions or assessments.
International services buyout
Hypothetical scenario: Buy a business generating €50m EBITDA at 10.0× EV/EBITDA, financed with €300m debt and €200m sponsor equity. Over five years, EBITDA rises to €70m, exit multiple remains 10.0×, and debt falls to €200m.
| Calculation | Result |
|---|---|
| Entry EV: €50m × 10.0× | €500m |
| Entry equity: €500m − €300m | €200m |
| Exit EV: €70m × 10.0× | €700m |
| Exit equity: €700m − €200m | €500m |
| MOIC: €500m / €200m | 2.50× |
| IRR: (2.5)^(1/5) − 1 | 20.1% |
Investment committee follow-ups
What happens if exit multiple falls to 8.0×? Exit EV becomes €560m, equity €360m, MOIC 1.80× and five-year IRR approximately 12.5%. Discuss whether organic growth, pricing, acquisitions or deleveraging could offset multiple compression.
Healthcare services commercial diligence
Hypothetical scenario: A European diagnostics platform has €180m revenue and €36m EBITDA. It operates across several countries and wants to acquire smaller labs.
*Assumes unchanged volume, full price realisation and no incremental costs; actual outcomes depend on payer contracts, regulation, churn and implementation.
Questions to answer
How concentrated are payer contracts? What portion of demand is structurally recurring? Are there quality and regulatory risks? What is the acquisition integration capacity? How would you separate sustainable synergies from optimistic assumptions?
A convincing answer connects the commercial thesis to clinical quality, pricing, cash conversion and the operating model.
Strategic Fund: asset-light B2B services
Hypothetical scenario: A regulated-services platform generates €25m EBITDA. A buyer considers paying 12× EBITDA, using €120m debt and €180m equity. By year four EBITDA grows to €35m, exit multiple is 11× and debt is €90m.
Exit EV = €35m × 11 = €385m; equity = €385m − €90m = €295m. MOIC = 295/180 = 1.64×; IRR ≈ 13.1%. Ask whether the expected return compensates for regulatory exposure, customer concentration and execution risk.
Decision prompt: Recommend proceeding, repricing or declining, with three diligence questions that could change the conclusion.
