Five worked Advent-style private equity case studies
Illustrative transactions, not actual Advent deals. Each case shows the calculations and the judgement required to interpret them. Figures are simplified, gross and before fees unless stated otherwise.
Global services buyout
A hypothetical €900m enterprise-value acquisition of a business generating €90m EBITDA (10.0×). Fund with €540m debt and €360m sponsor equity. After five years EBITDA reaches €125m, exit at 10.0× and repay debt to €300m.
Exit EV = €125m × 10 = €1,250m. Exit equity = €1,250m − €300m = €950m. Gross MOIC = €950m / €360m = 2.64×. Gross five-year IRR ≈ 21.4%.
If exit multiple falls to 8.0×, exit EV = €1,000m; equity = €700m; MOIC = 1.94×; five-year IRR ≈ 14.2%. What evidence supports the terminal multiple?
Industrial carve-out
A carve-out has reported EBITDA of €55m, receives €8m of corporate allocations and requires €12m of new standalone costs. The seller seeks 9× reported EBITDA. Annual separation costs are €15m in year one.
Normalized standalone EBITDA = €55m + €8m − €12m = €51m. Seller headline EV = 9 × €55m = €495m, equivalent to 9.71× normalized EBITDA. Year-one cash costs must be modelled separately.
Challenge the €8m allocation add-back, TSA pricing, IT separation, capex and stranded liabilities. Price on sustainable cash generation, not the seller’s reported multiple.
SaaS acquisition diligence
Opening ARR is $80m. New business adds $18m, expansion adds $12m, contraction removes $5m and churn removes $7m. The company reports a 78% gross margin and $9m annual cash burn.
Closing ARR = $98m; growth = 22.5%. Gross revenue retention = (80 − 5 − 7)/80 = 85%. Net revenue retention = (80 + 12 − 5 − 7)/80 = 100%.
Assess whether headline growth relies on costly new customer acquisition. Review cohort economics, sales efficiency, product usage and path to cash generation.
Healthcare platform buy-and-build
A healthcare platform produces €40m EBITDA. A bolt-on with €10m EBITDA is purchased for 8× (€80m EV), funded with €50m debt and €30m equity. The combined group expects €4m annual run-rate synergies and €9m one-time integration costs.
Pro forma run-rate EBITDA = €40m + €10m + €4m = €54m. Acquisition entry multiple = 8× standalone EBITDA; on synergy-adjusted acquired EBITDA, €80m / (€10m + €4m) = 5.71×, assuming all synergies are attributable to the deal.
Do not capitalize unproven synergies without probability, timing and integration costs. Review clinical outcomes, compliance, staffing and reimbursement.
Credit and liquidity downside
A leveraged business has €100m EBITDA and €600m net debt. EBITDA falls 25% and stressed exit EV/EBITDA is 6.0×. Assume debt claims rank pari passu and no other liabilities for this simplified example.
Stressed EBITDA = €75m. Stressed EV = €450m. Simplified enterprise-value shortfall against €600m net debt = €150m, implying 75% gross debt recovery before enforcement costs and structural priority differences.
Distinguish enterprise value from liquidation proceeds, assess security, covenant headroom, cash burn, collateral and restructuring options.
