01Why Graphite Capital rather than a larger buyout fund?
Contrast Graphite’s £30m–£150m mid-market focus, concentrated team, hands-on management partnerships and growth-driven value creation with larger-cap investing.
02What are Graphite’s three current sector verticals?
Health & Pharma Services, Education, and Data & Tech-Enabled Services; articulate why each offers structural demand or scalable models.
03What makes a good UK mid-market investment?
Defensible niche, resilient demand, recurring revenues, cash conversion, strong management and identifiable growth levers.
04What are the risks of a concentrated sector strategy?
Correlation, regulatory exposure and valuation crowding; offset with differentiated subsectors and diligence.
05How would you assess management-team quality?
Evidence of delivery, talent gaps, integrity, capital allocation and ability to scale; reference checks and incentives.
06What attracts you to Graphite’s partnership culture?
Connect collaborative decision-making and long-term relationships to a specific example from your experience.
07Describe an investment you would reject despite rapid growth.
Give a clear thesis, unit economics, cash conversion, customer risk and valuation discipline.
08What recent Graphite portfolio company interests you?
Use a current official portfolio case study; discuss thesis, value creation and investment risks, not assumed confidential financials.
09How does Graphite create value after acquisition?
Discuss distribution scaling, technology, international expansion, management enhancement and strategic acquisitions.
10What would you ask a portfolio CEO in your first meeting?
Ask about customers, growth constraints, competitive edge, cash flow, team and strategic priorities.
11Walk through the three financial statements.
Income statement profit feeds cash flow and retained earnings; balance sheet balances assets against liabilities and equity.
12Why is EBITDA not free cash flow?
EBITDA excludes capex, working capital, cash tax and financing costs.
13What happens when depreciation increases by £1m?
Pretax income falls £1m; with 25% tax, net income falls £0.75m, cash flow adds back £1m, net cash rises £0.25m, assuming tax shield usable.
14How do you calculate enterprise value?
Equity value plus net debt and other claims such as preferred/minority interests, less non-operating cash where applicable.
15How would you value a private education services company?
Trading and transaction multiples, DCF and unit economics; normalise enrolment, utilisation and seasonality.
16When would EV/EBITDA be misleading?
Capital-intensive, lease-heavy or poor-cash-conversion businesses; compare EV/EBITA, EBIT, FCF and sector metrics.
17How do you normalise EBITDA?
Adjust demonstrably non-recurring items, owner costs, pro forma acquisitions and sustainable overheads; scrutinise aggressive add-backs.
18What is working capital and why does it matter?
Operating current assets minus operating current liabilities; growth can consume cash even when EBITDA rises.
19How do you value a SaaS company with low current EBITDA?
ARR quality, retention, gross margin, cash burn, Rule of 40 and peer multiples, with a path to sustainable cash flow.
20How would rising interest rates affect private equity valuations?
Higher financing costs and discount rates, reduced debt capacity and potential multiple compression.
21Outline an LBO model in five steps.
Entry valuation, sources and uses, operating forecast, debt schedule, exit value and sponsor returns.
22What drives LBO returns?
EBITDA growth, exit multiple, debt paydown, entry valuation, dividends and holding period.
23Calculate equity at entry: £80m EV and £35m acquisition debt.
Assuming no other claims/cash and all debt funds the purchase, sponsor equity is £45m.
24Calculate MOIC: £45m invested and £108m returned.
108/45 = 2.40x gross MOIC.
25Estimate IRR on a 2.4x return over five years.
2.4^(1/5)-1 ≈ 19.1% gross IRR.
26What is a debt sweep?
Mandatory use of excess free cash flow to repay debt, reducing leverage and interest expense.
27What is the effect of 1x lower exit EBITDA multiple?
Exit EV falls by exit EBITDA, before debt changes; quantify the equity impact.
28Why might a smaller buyout use less leverage?
Earnings volatility, customer concentration, lender constraints and downside protection.
29What is a management rollover?
Management reinvests proceeds into the deal, aligning incentives but requiring fair governance.
30How do you build a downside case?
Stress revenue, margins, working capital, capex, interest, debt covenants and exit multiples.
31What diligence matters for a UK care-services business?
Quality of care, staffing, regulation, occupancy, referrals, payor mix, safeguarding and local demand.
32What are the key KPIs for a diagnostic services provider?
Volumes, reimbursement, capacity, utilisation, turnaround, clinical quality and capex.
33How does regulatory risk change a healthcare LBO?
Model compliance costs, licence risks, inspections, reimbursement and reputational downside.
34How would you assess pharma services customer concentration?
Revenue by client, programme, therapeutic area, contract duration and switching costs.
35What makes healthcare roll-ups attractive or risky?
Scale and purchasing leverage versus integration, clinician retention, quality and regulatory consistency.
36How would you model staff wage inflation?
Build wage cost by role and headcount, recruitment friction, price pass-through and margin sensitivity.
37What is the difference between structural and cyclical demand?
Structural demand follows demographics and healthcare needs; cyclical demand varies with budgets and economic conditions.
38What are red flags in a medical products business?
Product liability, recalls, reimbursement, channel dependence, inventory and regulatory approvals.
39How would you assess a teacher recruitment company?
Fill rates, schools served, candidate supply, compliance, repeat bookings, gross profit per placement and working capital.
40What are key risks for a higher education services investment?
Student outcomes, regulatory exposure, enrolment, acquisition cost, contracts and university dependence.
41How would you assess a multi-site education rollout?
Site-level payback, utilisation, local demand, staffing, property costs and quality control.
42What makes a data-services business defensible?
Proprietary datasets, integration into workflows, recurring contracts, quality and switching costs.
43What is net revenue retention?
Revenue from the same customer cohort including upsells and churn, divided by its prior-period revenue.
44What is a healthy SaaS cohort analysis?
Retention by vintage, expansion, churn and gross margin; distinguish logo from revenue retention.
45How would you value a specialist B2B events/data platform?
Separate recurring subscription economics from cyclical events revenue; assess customer overlap and cross-sell.
46How would AI affect a data-enabled services thesis?
Evaluate automation upside, defensibility, pricing pressure, data rights and implementation costs.
47What is a credible international expansion plan?
Customer pull, local economics, compliance, leadership, channel strategy and phased milestones.
48How do you diligence technology debt?
Architecture, security, code quality, infrastructure, roadmap, engineering retention and remediation capex.
49What belongs in an investment committee memo?
Thesis, market, management, financials, returns, downside, diligence, ESG and actionable value-creation plan.
50What are the main commercial diligence workstreams?
Market size, growth, competition, customers, pricing, unit economics and management execution.
51How would you assess a buy-and-build pipeline?
Target fit, valuation, integration capacity, antitrust, financing and post-merger operating model.
52What makes a good management incentive plan?
Alignment to equity outcomes, retention, sensible vesting and protection from unintended risk-taking.
53How do you measure value creation quarterly?
Revenue quality, EBITDA, cash conversion, net debt, customer and talent KPIs against underwriting.
54How would you challenge a CEO’s optimistic forecast?
Bridge assumptions to historical cohorts, pipeline, capacity and external market evidence.
55What would cause you to walk away late in diligence?
Unresolvable quality, regulatory, integrity or cash-flow issues, or an unacceptable risk-adjusted price.
56What are the implications of a delayed exit?
IRR compression, liquidity timing, fund concentration and potentially changed market multiples.
57How do ESG considerations affect underwriting?
Identify material operational and regulatory risks, improvement cost, measurement and exit buyer expectations.
58What would you do if a portfolio company misses budget?
Diagnose revenue versus margin, preserve liquidity, refresh forecast and support focused interventions.
59Should Graphite buy a £60m EBITDA-multiple education platform?
Clarify actual EBITDA and valuation; examine school contracts, tutor supply, customer concentration and debt capacity.
60A care provider grows 20% but cash falls. Why?
Consider receivables, staffing costs, capex, acquisitions, tax and payment timing.
61A software firm has 115% NRR but high logo churn. Invest?
Investigate cohort concentration, product fit, expansion economics and sustainability.
62An acquisition adds £3m EBITDA at 7x. How does it affect returns?
Assess funding, synergies, integration and exit valuation; multiple arbitrage is not guaranteed.
63A lender offers more leverage. Would you take it?
Compare equity IRR upside against downside coverage, covenant headroom and refinancing risk.
64How would you pitch a niche UK services business in 60 seconds?
Describe problem, market, moat, cash profile, management, value creation and key risk.
65A competitor cuts prices 15%. How do you respond?
Segment customers, test elasticity, protect high-value service, analyse margins and strategic response.
66A portfolio company plans a US launch. What would you check?
Demand evidence, regulatory exposure, channel economics, hiring, capex and break-even timeline.
67How do you decide between two similar buyouts?
Compare downside-adjusted returns, management, cash conversion, conviction and execution burden.
68What would you present to the investment committee after a failed deal?
Summarise evidence, decision points, learning and reusable diligence insights.

Book Mock Interview ↗Worked case 1: £80m mid-market buyout
A fictional UK tech-enabled services company has £10m entry EBITDA. It is acquired for 8.0x EBITDA, funded with £35m acquisition debt and £45m sponsor equity. Five years later, EBITDA reaches £15m and it exits at 8.0x, with £12m debt remaining.
Calculate entry and exit returns
Entry EV: £10m × 8.0 = £80m. Exit EV: £15m × 8.0 = £120m. Exit equity: £120m − £12m = £108m. MOIC: £108m / £45m = 2.40×. Five-year gross IRR: (2.40)^(1/5) − 1 ≈ 19.1%.
Challenge the result: what happens if EBITDA misses by 10%, the exit multiple compresses to 7.0x or debt paydown is delayed? Gross figures exclude fees, interim distributions and other transaction adjustments.
Worked case 2: education services investment committee
A fictional education recruitment platform generates £45m revenue and £7.5m EBITDA, with 60% repeat school customers. The seller asks for £75m enterprise value.
Underwriting the investment
Commercial questions: Are bookings recurring or merely seasonal? How concentrated are school customers? What is the fill rate? How defensible is the teacher supply network? Are there safeguarding or compliance risks?
Financial diligence: Bridge reported EBITDA to cash flow; test receivables, working capital seasonality, payroll timing and sustainable recruitment costs. Compare valuation with growth, margins and downside resilience.
Investment decision: Present a conditional recommendation with price sensitivity, management plan and measurable value-creation milestones, rather than assuming a 10.0× entry is attractive.
