How to prepare for a Permira interview

Permira invests through thematic private equity and credit strategies, with deep expertise in Technology, Consumer, Healthcare and Services. Successful preparation should demonstrate both numerical accuracy and an investor’s ability to distinguish a great business from a great investment.

01

Flagship

Control-oriented upper-mid-market buyouts, with an emphasis on international growth and transformation.

02

Ascent

Mid-market growth investments with control, co-control or high-governance structures.

03

Credit

Direct lending, CLO management and flexible capital solutions with a focus on downside protection.

Important: Questions and cases in this guide are independently created educational exercises. They are not official Permira interview questions, and hiring stages vary by office, seniority and team.

What might the Permira interview process involve?

Public candidate accounts describe conversations with investment professionals and, in some cases, investment cases, technical discussions or presentations. Other candidates report fewer or no formal cases. Do not treat any single account as a universal hiring process.

Motivation & fit

Why Permira, sector interest, collaboration and your transaction experience.

Technical judgement

Valuation, LBOs, accounting, cash flow and commercial diligence.

Investment case

Develop a thesis, assess risks, model returns and defend a recommendation.

Prepare one recent investment from the official Permira portfolio and be ready to discuss its business model, market structure, strategic rationale and possible downside.

78 Permira interview questions and suggested answers

Use the topic filters to practise technical and commercial questions. Open each question to reveal concise answer guidance, then rehearse a complete answer aloud.

1. Why Permira rather than another global buyout firm? Permira & fit

Answer guidance: Discuss its thematic sector approach, Flagship and Ascent strategies, management partnership and international value creation; connect each to your experience.

2. Explain Permira’s Flagship strategy. Permira & fit

Answer guidance: Control-oriented upper-mid-market investments, primarily Europe and North America, across Technology, Consumer, Healthcare and Services.

3. How is Ascent different from Flagship? Permira & fit

Answer guidance: Ascent targets mid-market growth companies with control, co-control and high-governance structures; contrast deal size and governance needs.

4. What are Permira’s four focus sectors? Permira & fit

Answer guidance: Technology, Consumer, Healthcare and Services; explain structural growth themes in each.

5. How would you describe Permira’s private credit business? Permira & fit

Answer guidance: Discuss flexible financing including direct lending, CLO management and strategic opportunities, distinct from equity underwriting.

6. Why private equity instead of investment banking? Permira & fit

Answer guidance: Focus on ownership, long-term accountability, business building and underwriting decisions, not just transaction execution.

7. What does a good partnership with a founder look like? Permira & fit

Answer guidance: Aligned incentives, clear governance, transparent reporting, thoughtful capital allocation and respectful challenge.

8. Tell me about a time you changed your mind on an investment. Permira & fit

Answer guidance: State initial thesis, disconfirming evidence, revised view and what you learned.

9. Walk through a transaction you know deeply. Permira & fit

Answer guidance: Cover company, sector, investment thesis, valuation, financing, risks, diligence, negotiation and eventual outcome.

10. Which Permira portfolio business would you study and why? Permira & fit

Answer guidance: Select a company from its current portfolio; discuss sector, competitive advantage, growth opportunities and key risks.

11. What global trend creates a compelling investment opportunity? Permira & fit

Answer guidance: Frame a testable thesis with TAM, adoption curve, competitive dynamics, valuation and downside.

12. What makes a strong associate on a cross-border deal? Permira & fit

Answer guidance: Model accuracy, clear communication, ownership, cultural awareness and prioritisation under time pressure.

13. Walk through the three financial statements. Accounting & valuation

Answer guidance: Income statement produces earnings, cash flow reconciles non-cash items and working capital, balance sheet reflects cumulative effects.

14. How does a £10 increase in depreciation affect the statements? Accounting & valuation

Answer guidance: At 25% tax: EBIT and pre-tax income down £10, net income down £7.50; cash flow adds back £10, so cash up £2.50; PP&E down £10, equity down £7.50.

15. Enterprise value versus equity value? Accounting & valuation

Answer guidance: EV represents value to all capital providers; equity value = EV minus net debt and other debt-like claims plus non-operating assets.

16. When is EV/EBITDA misleading? Accounting & valuation

Answer guidance: Capex-intensive businesses, lease distortions, volatile margins, poor cash conversion and structurally different working capital.

17. Explain the DCF method. Accounting & valuation

Answer guidance: Forecast unlevered free cash flow, discount at WACC, add discounted terminal value, bridge enterprise to equity value.

18. How do you calculate unlevered free cash flow? Accounting & valuation

Answer guidance: EBIT×(1−tax)+D&A−capex−increase in net working capital.

19. What happens when working capital increases? Accounting & valuation

Answer guidance: An increase in operating net working capital consumes cash, all else equal.

20. What drives terminal value in a DCF? Accounting & valuation

Answer guidance: Perpetuity growth and exit multiple approaches; terminal assumptions often dominate valuation.

21. How would you value a negative-EBITDA software company? Accounting & valuation

Answer guidance: Revenue multiples, cohort unit economics, forward margin potential, cash burn and scenario-based DCF.

22. What are purchase price adjustments? Accounting & valuation

Answer guidance: Cash, debt-like items, working capital normalisation, leakage and transaction expenses.

23. What is the difference between maintenance and growth capex? Accounting & valuation

Answer guidance: Maintenance sustains current operations; growth capex supports expansion; both matter for sustainable free cash flow.

24. Why can high EBITDA growth still destroy equity value? Accounting & valuation

Answer guidance: Excessive leverage, weak cash conversion, dilution, falling multiples and overpayment.

25. Walk through an LBO from entry to exit. LBO modelling & returns

Answer guidance: Entry EV, sources and uses, leverage, forecast cash flow and debt paydown, exit EV, equity proceeds, MOIC and IRR.

26. What are the main LBO return drivers? LBO modelling & returns

Answer guidance: EBITDA growth, margin expansion, debt reduction, entry/exit multiple change and distributions.

27. How do you calculate MOIC and IRR? LBO modelling & returns

Answer guidance: MOIC = total equity proceeds / invested equity; annualised IRR solves timing of all cash flows.

28. Why does leverage increase returns and risk? LBO modelling & returns

Answer guidance: Debt reduces initial equity but adds fixed obligations and increases sensitivity to operating downside.

29. What makes a company a good buyout target? LBO modelling & returns

Answer guidance: Defensible cash flows, durable margins, attractive industry, cash conversion, operational upside and credible management.

30. How does a 1× change in exit EBITDA multiple affect returns? LBO modelling & returns

Answer guidance: Exit EV changes by one times exit EBITDA, before net-debt and other adjustments.

31. What is a debt sweep? LBO modelling & returns

Answer guidance: Contractual or modelled use of excess cash flow to repay debt, lowering interest expense and net debt.

32. How do you model a revolver? LBO modelling & returns

Answer guidance: Borrow when cash falls below minimum, repay with excess cash, accrue interest on balances and test circularity.

33. How does management rollover affect sponsor returns? LBO modelling & returns

Answer guidance: It reduces sponsor equity funding but changes ownership and exit proceeds; model incentives explicitly.

34. What is a dividend recapitalisation? LBO modelling & returns

Answer guidance: A portfolio company raises debt to distribute cash to owners; improves interim liquidity but increases leverage.

35. What does an entry-to-exit bridge show? LBO modelling & returns

Answer guidance: Attribution of sponsor returns to EBITDA growth, multiple movement, deleveraging and other factors.

36. How do you stress-test an LBO? LBO modelling & returns

Answer guidance: Vary revenue, margins, capex, rates, refinancing, covenant headroom and exit multiples.

37. What is annual recurring revenue? Technology & SaaS

Answer guidance: Contracted recurring revenue annualised at a point in time; distinguish from recognised GAAP/IFRS revenue.

Three detailed Permira-style investment cases

These hypothetical examples test return calculations, operating assumptions and commercial reasoning. They do not describe actual Permira investments.

CASE STUDY 01 · FLAGSHIP BUYOUT

€600m European services buyout

A B2B services company generates €60m EBITDA. The entry multiple is 10.0×; financing consists of €360m debt and €240m sponsor equity. Five years later EBITDA is €85m, the exit multiple is 10.0× and remaining debt is €250m.

Entry EV€600m
Exit EV€850m
Exit equity€600m
Gross MOIC2.50×
StepCalculationResult
Entry EV€60m × 10.0×€600m
Entry equity€600m − €360m€240m
Exit EV€85m × 10.0×€850m
Exit equity€850m − €250m€600m
MOIC€600m / €240m2.50×
Five-year gross IRR(2.5)^(1/5) − 120.1%

Investment committee challenge: What if the exit multiple compresses to 8.5×? Exit EV falls to €722.5m, exit equity to €472.5m, MOIC to 1.97× and five-year gross IRR to approximately 14.5%.

Discussion: What operational plan supports the €25m EBITDA increase? How would you assess customer retention, pricing power, cash conversion and management incentives?

CASE STUDY 02 · TECHNOLOGY DILIGENCE

Subscription software ARR bridge

A software business starts with €100m ARR. Over the year it loses €6m to churn, €4m to downgrades, adds €20m of expansion ARR and wins €25m in new customers.

Gross retention90%
Net retention110%
Ending ARR€135m
ARR growth35%

Calculation: GRR = (€100m − €6m − €4m)/€100m = 90%; NRR = (€100m − €6m − €4m + €20m)/€100m = 110%; ending ARR = €100m − €10m + €20m + €25m = €135m.

Diligence: Segment churn by customer size and cohort, check implementation costs, validate ARR definitions, investigate upsell concentration and stress-test new-logo acquisition efficiency. High NRR does not offset all weaknesses in gross retention.

CASE STUDY 03 · ASCENT GROWTH INVESTMENT

€50m growth investment and dilution

An investor commits €50m of primary capital at a €200m pre-money equity valuation. After four years the company is sold for €500m equity value, with no further dilution or distributions.

Post-money value€250m
Investor stake20%
Exit proceeds€100m
Four-year IRR18.9%

Calculation: Ownership = €50m / (€200m + €50m) = 20%; proceeds = 20% × €500m = €100m; MOIC = 2.0×; IRR = 2^(1/4) − 1 ≈ 18.9%.

Investment judgement: Underwrite governance rights, downside protection, use of proceeds, follow-on dilution, management incentives and the path to profitable growth. This is a simplified hypothetical, not a statement of Permira’s deal terms.

Practise the case presentation, not just the calculations.
